Terms and Conditions

These terms govern use of the Michigan Lithium Packs website, quote and order requests, and purchases of standard or custom lithium battery products.

Effective date: July 17, 2026

These Terms and Conditions (the “Terms”) are an agreement between you and Michigan Lithium Packs (“Michigan Lithium Packs,” “MLP,” “we,” “us,” or “our”). By using michiganlithiumpacks.com (the “Website”), submitting a quote or order request, accepting a quote, or purchasing a product from us, you agree to these Terms. If you do not agree, do not use the Website or submit an order.

1. Eligibility and authority

You must be at least 18 years old and legally able to enter into a contract to place an order. If you act for a company or organization, you represent that you have authority to bind it. You are responsible for safeguarding any order number or account information and for promptly notifying us of suspected unauthorized use.

2. Quote requests and order requests

Submitting a custom quote form or checkout form is a request for review. It is not our acceptance of an order, does not authorize payment, and does not require us to manufacture or ship a product. We may accept, reject, or request changes to a proposed order.

An order becomes binding only after: (a) we provide final written specifications, pricing, shipping terms, and payment instructions; (b) you approve them in writing or through an authorized electronic process; and (c) we receive any payment or deposit identified as required. An automated receipt or acknowledgment only confirms that we received your request.

A quote expires on the date stated in the quote. If no expiration date is stated, it expires 30 days after issuance. Changes requested after acceptance may affect price, design, shipping, and completion time and are effective only if approved by us in writing.

3. Specifications, compatibility, and customer information

You must provide complete and accurate information about the intended application, including voltage, chemistry, capacity, continuous and peak current, charge current, charger, connectors, available dimensions, mounting, environment, temperature, vibration, duty cycle, and any applicable certification or regulatory requirement. Tell us if any value is unknown rather than estimating it as fact.

We review compatibility using the information you provide, but you remain responsible for the design, condition, wiring, controls, fusing, installation, and legal compliance of the larger system into which the battery is installed. A battery is approved only for the application, operating limits, charger, and configuration identified in the final written specifications. Do not use it for a materially different application without our prior written approval.

Unless the final written specifications expressly say otherwise, a product is not represented as UL Listed, UL Certified, approved for aviation, approved as a medical device, or certified to any particular legal or industry standard. Products must not be used in life-support, emergency-response, aerospace, nuclear, or other safety-critical systems unless we expressly approve that use in a signed writing that identifies the required standard and intended use.

4. Product information and substitutions

Website photographs, diagrams, weights, dimensions, ranges, runtimes, cycle-life figures, completion estimates, and other general descriptions are illustrative unless incorporated into the final written specifications. Actual runtime, range, power, and service life depend on load, temperature, charge settings, depth of discharge, storage, maintenance, and other conditions.

Cell and component availability may change. We may propose an equivalent or better component, but we will obtain your approval before making a material change to an accepted chemistry, voltage, capacity, continuous-current rating, connector, enclosure, or certification requirement.

5. Lithium battery safety

Lithium batteries store substantial energy and can cause fire, burns, electric shock, property damage, serious injury, or death if damaged, short-circuited, improperly charged, incorrectly installed, modified, abused, or used outside their approved limits.

A battery management system reduces certain risks; it does not make a battery fail-proof.

You agree to:

  • read and follow all product-specific instructions, labels, limits, and safety notices;
  • use only the charger type, voltage, current, polarity, and charging profile approved for the battery;
  • use properly rated wiring, connectors, overcurrent protection, mounting, ventilation, and enclosure protection;
  • have installation, service, and system integration performed by a person qualified for the voltage, current, equipment, and applicable codes;
  • keep the battery away from flame, excessive heat, water beyond its stated rating, conductive debris, children, and conditions outside its written operating limits;
  • not crush, puncture, drop, open, bypass, disassemble, reverse-polarize, short-circuit, weld to, or modify the pack, BMS, wiring, fuse, connector, or enclosure;
  • stop charging and using the battery immediately if it is swollen, leaking, hissing, smoking, unusually hot, physically damaged, emitting an unusual odor, or behaving abnormally, and move away from it if safe to do so; and
  • follow applicable fire-safety, transportation, recycling, and disposal requirements. Never place a lithium battery in household trash or curbside recycling.

In an active fire, smoke, rapid heating, or imminent hazard, leave the area and contact emergency services. Do not attempt to return or ship a damaged, defective, or recalled lithium battery unless we or a qualified carrier provide specific compliant shipping instructions.

6. Prices, payment, and taxes

Website prices and checkout subtotals may be estimates or starting prices. Final pricing, shipping, hazardous-material handling, taxes, fees, and payment terms are confirmed after review. You authorize no payment merely by submitting an order request.

You agree to pay the amounts and by the deadlines in the accepted quote or invoice. You are responsible for sales, use, excise, import, customs, and similar taxes or charges, except taxes based on our net income. Tax-exempt customers must provide valid documentation before invoicing. Title to a product does not pass until we receive full payment, except where applicable law requires otherwise.

7. Production, shipping, and delivery

Built-to-order and custom completion dates are good-faith estimates, not guaranteed delivery dates, unless we expressly guarantee a date in writing. Delays may result from component availability, design changes, testing, carrier restrictions, hazardous-material requirements, weather, or events outside our reasonable control. We will communicate material delays and the options required by law.

Lithium batteries are regulated for transportation. Shipping methods, destinations, packaging, and delivery services are limited to those we determine can lawfully and safely handle the product. We may decline a destination or change a proposed shipping method when needed for compliance. Risk of loss transfers as provided by applicable law and the shipping terms stated in the accepted order.

Inspect the package before opening when possible. Promptly report loss, visible shipping damage, or a suspected safety issue and preserve the packaging, labels, photographs, and tracking information. Do not use a battery that may have been damaged in transit.

8. Cancellations and changes

You may ask to cancel before shipment, but cancellation is not effective until we confirm it in writing. For a custom or built-to-order product, an accepted order may become noncancelable after we purchase nonreturnable materials, reserve custom components, begin engineering, or start production. Any cancellation charge, retained deposit, or deduction for work and materials must be disclosed in the accepted quote or otherwise agreed in writing and remains subject to applicable law.

9. Returns

Do not return a product without contacting us and receiving return authorization and shipping instructions. Standard product returns, if offered, are governed by the Orders and Returns Policy disclosed at the time of sale. Custom and built-to-order products are not returnable merely because you change your mind, provide incorrect specifications, or discover incompatibility that results from incomplete or inaccurate customer information.

This section does not limit rights or remedies for a product that is defective, materially fails to conform to the accepted specifications, is damaged before delivery, or is otherwise covered by a written warranty or nonwaivable law. Because lithium batteries may be hazardous in transportation, we may require inspection, local service, special packaging, or an approved carrier instead of ordinary return shipping.

10. Warranty terms

Any product warranty will be stated in the accepted order confirmation or a separate written limited warranty made available before sale. That document controls its duration, coverage, exclusions, claim procedure, and remedy. Statements that we inspect or test a pack describe our production process; they do not mean a battery cannot fail, that a BMS prevents every hazardous condition, or that every BMS feature applies to every product.

Unless expressly included in the final written specifications or warranty, we do not promise a specific range, runtime, cycle count, service life, compatibility with later-modified equipment, or performance outside the approved operating conditions. Nothing in these Terms excludes, disclaims, or limits a warranty or consumer right that applicable law does not permit us to exclude, disclaim, or limit.

11. Misuse, modification, and integration

To the extent permitted by law, we are not responsible for loss caused by use outside the final specifications; an incompatible or modified charger; incorrect installation; reversed polarity; external wiring, controller, motor, inverter, alternator, solar charger, or equipment faults; bypassed protection; impact, puncture, water, excessive heat, freezing, corrosion, vibration, or abuse beyond the stated rating; unauthorized repair or modification; continued use after a warning sign; or failure to follow instructions. This provision applies only to the extent the condition caused or contributed to the claimed loss.

Opening a pack or removing a tamper-evident label may be evidence of modification, but it does not automatically void a warranty. Warranty coverage may be denied only when the alteration, damage, unauthorized service, or other excluded condition caused or contributed to the problem, or as otherwise permitted by law.

12. Safety notices and recalls

We may contact you using order information about a safety notice, corrective action, or recall. You agree to keep your contact information current and to follow urgent stop-use or return instructions. If you transfer or resell a product, provide the recipient with its labels, instructions, specifications, and safety notices and, where reasonably possible, retain information needed to pass along a later safety notice.

13. Website use and intellectual property

The Website and its original text, graphics, logos, photographs, layouts, and software are owned by or licensed to us and are protected by applicable intellectual-property laws. We grant you a limited, revocable, nonexclusive right to use the Website for lawful personal or internal business purposes.

You may not:

  • interfere with Website security, availability, ordering, tracking, or other users;
  • use automated means to scrape, overload, probe, or extract Website data without permission;
  • submit false, fraudulent, unlawful, or infringing content or impersonate another person;
  • reverse engineer Website software except where that restriction is prohibited by law; or
  • copy or use our branding in a way that suggests endorsement or affiliation.

14. Third-party services and links

The Website may link to or rely on third-party payment, analytics, mapping, carrier, social-media, or other services. Their terms and privacy practices govern their services. We are not responsible for third-party content or services merely because the Website links to or interoperates with them.

15. Privacy and electronic communications

Our Privacy Policy explains how we handle personal information. By submitting a form, you agree that we may communicate electronically about your request, order, transaction, safety notices, and these Terms. Marketing messages are subject to the choices and consents described in the Privacy Policy; transactional and safety communications are not marketing subscriptions.

16. Website disclaimers

To the fullest extent permitted by law, the Website and its general informational content are provided “as is” and “as available.” We do not warrant that the Website will be uninterrupted, error-free, secure, or free of harmful code. Website content is not a substitute for product-specific specifications, instructions, qualified electrical advice, engineering review, or compliance review.

This Website disclaimer applies to the Website, not to product warranties that arise under an accepted order, separate written warranty, or applicable law.

17. Limitation of liability

To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, or loss of use, arising from the Website or a product.

For claims involving direct economic or property loss, our aggregate liability will not exceed the amount you paid us for the product giving rise to the claim, to the fullest extent permitted by law.

These limitations do not apply to liability that cannot lawfully be limited, including liability for fraud or willful misconduct; gross negligence where it cannot be limited; death or personal injury to the extent caused by negligence or a defective product; breach of a nonwaivable warranty; or rights and remedies protected by applicable consumer-protection or product-liability law. Some jurisdictions do not allow certain exclusions, so some limitations may not apply to you.

18. Additional terms for business customers

If you purchase primarily for commercial use, integration, manufacture, or resale, you are a “Business Customer.” A Business Customer is responsible for testing and validating the finished system, regulatory compliance, workplace safety, downstream instructions and warnings, and claims it makes about the finished system.

To the fullest extent permitted by law, a Business Customer will defend, indemnify, and hold us harmless from a third-party claim to the extent caused by that Business Customer’s system design, installation, modification, marketing, resale, legal violation, or use outside the final specifications. This obligation does not apply to the extent a claim is caused by our breach, negligence, defective product, or willful misconduct.

19. Governing law and disputes

These Terms and transactions with us are governed by Michigan law, without regard to conflict-of-law rules, except that applicable federal law and nonwaivable protections of your home jurisdiction continue to apply. Before filing a claim, each party agrees to provide written notice describing the dispute and allow 30 days for a good-faith attempt to resolve it, unless urgent injunctive relief or a shorter legal deadline makes that impractical.

To the extent permitted by law, proceedings must be brought in a state or federal court with jurisdiction over Livingston County, Michigan. This does not prevent either party from using an eligible small-claims court or a consumer from proceeding in another forum when applicable law gives the consumer a nonwaivable right to do so. These Terms do not require arbitration and do not waive any right to participate in a class action.

20. General terms

Order of precedence

If documents conflict, the following order controls for the specific transaction: (1) a signed change order or final order confirmation; (2) the final approved specifications; (3) a product-specific written limited warranty; (4) the Orders and Returns Policy disclosed at acceptance; and (5) these Terms. A document controls only the subject it addresses. Website content does not override an accepted order document.

Severability and waiver

If a provision is unenforceable, it will be enforced to the maximum lawful extent or severed, and the remainder will continue in effect. A failure to enforce a provision is not a waiver of it.

Assignment and force majeure

You may not assign an accepted order without our written consent. We may assign these Terms in connection with a merger, reorganization, asset transfer, or sale of the business. Neither party is liable for delay caused by events outside its reasonable control, except that this does not excuse payment already due or obligations that applicable law does not permit a party to avoid.

Updates

We may revise these Terms by posting an updated version and effective date. Changes apply prospectively and do not alter an accepted order unless both parties agree or the change is required by law. The version presented when you accept an order governs that transaction.
